Terms of Service

1. Acceptance of Terms

By accessing or using the Koalr platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Koalr is a software-as-a-service (SaaS) engineering intelligence platform that helps engineering teams measure and improve their delivery performance. The Service integrates with third-party development tools to collect metadata and calculate engineering metrics including DORA metrics, code review analytics, AI tool adoption tracking, and developer experience signals.

3. Account Registration

To use Koalr, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain only one account per person
  • Keep your account credentials secure and not share them with others
  • Notify us immediately if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account.

4. Subscription & Billing

Koalr offers per-seat subscription pricing with both monthly and annual billing options. Annual plans include a discount compared to monthly pricing.

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You may add seats at any time; additional seats are prorated for the remainder of the billing period
  • All payments are processed securely through Stripe
  • Prices may change with 30 days' written notice before your next billing cycle
  • Refunds for annual plans are not provided for partial-year cancellations, but you retain access through the end of the paid period

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape, crawl, or use automated tools to extract data from the Service beyond the provided API
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Exceed API rate limits or use automated access methods that degrade the Service for other users
  • Use the Service to violate any applicable laws or regulations
  • Attempt to gain unauthorized access to other users' accounts or data

6. Intellectual Property

Koalr and its licensors retain all intellectual property rights in the Service, including but not limited to the software, algorithms, user interface, documentation, and branding. These Terms do not grant you any rights to use Koalr's trademarks, logos, or other brand features without our prior written consent. You retain all rights to data you provide to the Service.

7. Data Ownership

Your data is your data. We never sell it. We never use it to train AI models. You can export or delete it at any time.

You retain full ownership of all data you provide to Koalr, including integration data synced from third-party tools. We process your data solely to provide the Service and do not share it with third parties except as described in our Privacy Policy.

You may export your data at any time using the built-in export tools or via the API. Upon account deletion, all associated data is permanently removed within 30 days.

8. Service Level

We target 99.9% uptime for the Koalr platform, measured on a monthly basis. Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 48 hours in advance.

Current service status is available at status.koalr.com. Enterprise customers may negotiate custom SLA terms with dedicated uptime guarantees and service credits.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Koalr and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to Koalr in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate these Terms with 30 days' written notice. Koalr may also terminate or suspend your access immediately if you breach these Terms.

Upon termination, you will have 30 days to export your data using the built-in export tools or API. After this 30-day grace period, your data will be permanently deleted from our systems.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
